1. Scope of Services
Business Automation Empire provides digital services including website development, mobile application development, UI/UX design, and branding. The exact scope, deliverables, timeline, and pricing for each engagement will be defined in a written proposal or agreement signed by both parties.
2. Payment Terms
- A minimum 50% advance is required before project commencement.
- Remaining payments follow milestone-based or monthly billing as agreed.
- All invoices are payable within 7 days of issuance.
- Prices are exclusive of applicable taxes unless stated otherwise.
- Late payments may attract a 2% monthly interest charge.
3. Project Timeline
Timelines provided in proposals are good-faith estimates based on the agreed scope. Delays caused by client-side dependencies (feedback, content, approvals) will extend timelines accordingly. Material scope changes may require a revised quote and timeline.
4. Intellectual Property
- Upon full and final payment, ownership of all final deliverables transfers to the client.
- Business Automation Empire retains the right to display the work in its portfolio and case studies unless explicitly restricted in writing.
- Third-party assets (fonts, stock imagery, libraries) remain under their original licenses.
- Pre-existing tools, frameworks, and code developed by Business Automation Empire remain its property.
5. Client Responsibilities
The client agrees to provide timely feedback, accurate information, content, and approvals required for project progression. Repeated delays beyond 30 days may result in project suspension.
6. Limitation of Liability
Business Automation Empire's total liability under any engagement is limited to the fees paid by the client for the specific service in question. We are not liable for indirect, incidental, or consequential damages including loss of profit, data, or business opportunity.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. NDAs can be signed on request.
8. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Uttar Pradesh, India.
9. Updates to Terms
Business Automation Empire reserves the right to revise these terms at any time. Continued use of our services constitutes acceptance of the updated terms.
